Terms of Service

1. Acceptance of Terms

By accessing or using Launchpad ("Service," "Platform," "we," "our," or "us"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Launchpad provides software and services for Shopify-connected creator campaigns, including:

• Shopify integration and brand-context extraction
• Campaign asset generation and creative operations
• Creator assignment, review, and delivery workflows
• Attribution, reporting, and payout preparation support

3. Accounts and Access

You must be at least 18 years old and authorized to use the Service on behalf of yourself or your organization. You are responsible for safeguarding your login credentials and for activity that occurs under your account.

4. Acceptable Use

You agree not to:

• Use the Service for unlawful, deceptive, or fraudulent conduct
• Upload or submit content you do not have rights to use
• Attempt to breach, reverse engineer, or disrupt the platform
• Use Launchpad outputs in ways that violate third-party rights or platform rules
• Misrepresent attribution, performance, or campaign results

5. Content and Intellectual Property

You retain ownership of content you submit to Launchpad. You grant us a limited license to host, process, analyze, and transform that content as needed to provide the Service.

Unless otherwise agreed in writing, Launchpad retains ownership of the platform, software, workflows, and other service infrastructure. Rights in generated campaign outputs are governed by the applicable order form, pilot agreement, or written commercial terms between the parties.

6. Commercial Terms

Pricing may take the form of pilot terms, revenue share, fixed-fee campaign work, retainers, or other written commercial arrangements. Unless otherwise specified in writing, invoices are due according to the payment terms in the relevant agreement.

7. AI and Platform Outputs

You acknowledge that Launchpad uses AI systems and that outputs may require human review. You are responsible for reviewing materials before public use.

8. Third-Party Platforms

Launchpad integrates with third-party services such as Shopify, Supabase, Stripe, email providers, and AI infrastructure. Your use of those services may also be subject to their terms and policies.

9. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

10. Limitation of Liability

To the maximum extent permitted by law, Launchpad will not be liable for any indirect, incidental, consequential, special, or punitive damages. Our aggregate liability arising out of the Service will not exceed the amounts paid to Launchpad under the applicable commercial arrangement in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold Launchpad harmless from claims, damages, and expenses arising from your misuse of the Service, your submitted content, or your violation of these Terms or applicable law.

12. Termination

We may suspend or terminate access to the Service if you violate these Terms, present a security risk, or if required by law. You may stop using the Service at any time.

13. Governing Law

These Terms are governed by the laws applicable to the entity contracting with you, without regard to conflict-of-law principles, unless otherwise specified in a written commercial agreement.

14. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after an update constitutes acceptance of the revised Terms.
